1. Acceptance of Terms

By accessing or using MissionAssist360 ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and MissionAssist360 regarding your use of the Service. By using the Service, you represent and warrant that you have the legal capacity to enter into a binding agreement.

Please read these Terms carefully before using our Service. By using MissionAssist360, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Description of Services

MissionAssist360 is a SaaS (Software as a Service) platform designed for trucking businesses to track expenses, calculate profits, monitor mileage, and manage other aspects of their business operations.

The Service includes:

  • Expense tracking tools
  • Profit calculation features
  • Mileage monitoring
  • Basic reporting capabilities
  • Other features as described on our website

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

3. User Accounts

To access certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and to update such information as necessary.

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, false, or outdated, or if you violate any provision of these Terms.

4. Payment Terms

MissionAssist360 offers the following subscription plans:

  • Individual Basic Plan: $19 per month
  • Individual Premium Plan: $39 per month
  • Annual plans available with 20% discount

By selecting a subscription plan, you agree to pay the subscription fees indicated for that plan. Payments are due in advance and will be charged automatically at the beginning of each billing period using the payment method you provide during registration.

All fees are exclusive of taxes, which may be added to the fees charged to you, if applicable. You are responsible for paying all fees and taxes associated with your use of the Service.

5. Free Trial

We offer a 14-day free trial to new users. Free trials are available to new users only. At the end of your free trial period, you will need to select a subscription plan to continue using the Service.

6. Refunds

Subscription fees are non-refundable except where required by law. We do not provide refunds or credits for partial subscription periods or unused portions of paid subscriptions.

7. Changes to Fees

We reserve the right to change our subscription fees at any time. If we change our fees, we will provide notice of the change on the website or by email at least 30 days before the change takes effect. Your continued use of the Service after the fee change becomes effective constitutes your agreement to pay the modified fee amount.

8. User Responsibilities

As a user of MissionAssist360, you agree to:

  • Use the Service in accordance with these Terms and all applicable laws and regulations
  • Provide accurate and complete information when using the Service
  • Ensure that your use of the Service does not violate any third-party rights
  • Be solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of all data you input into the Service
  • Maintain appropriate security and protection for your account credentials
  • Promptly update your account information to keep it accurate and current

You acknowledge that the quality of the Service depends in part on the accuracy and completeness of the information you provide.

9. Prohibited Activities

While using the Service, you agree not to:

  • Violate any laws, regulations, or third-party rights
  • Use the Service for any illegal or unauthorized purpose
  • Attempt to access any other user's account or data
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to circumvent any security features of the Service
  • Create multiple accounts for abusive purposes
  • Use any automated system or software to extract data from the Service ("scraping")
  • Transmit any viruses, malware, or other harmful code
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use the Service in any way that could damage, disable, overburden, or impair it
  • Resell, lease, or otherwise transfer your account to any third party

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this provision, including removing prohibited content, suspending or terminating accounts, and reporting violators to law enforcement authorities.

10. Intellectual Property

Our Intellectual Property

The Service and its original content, features, and functionality are owned by MissionAssist360 and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent. You may not reverse engineer or attempt to extract the source code of the software, unless laws prohibit these restrictions or you have our written permission.

Your Content

You retain all rights to any information or data you submit or upload to the Service ("Your Content"). By providing Your Content to the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, modify, create derivative works, communicate, publish, and distribute Your Content solely for the purpose of providing and improving the Service.

You represent and warrant that:

  • You own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use Your Content
  • Your Content does not and will not infringe, misappropriate, or violate any third-party rights

11. Limitation of Liability

To the maximum extent permitted by law, in no event shall MissionAssist360, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising out of or relating to resulting from:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims, damages, losses, and causes of action exceed the amount paid by you, if any, for accessing or using the Service during the 12 months immediately preceding the date of your claim or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain damages. Accordingly, some of the above limitations may not apply to you.

12. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any representation or warranty, whether express, implied, or statutory. To the maximum extent permitted by applicable law, we specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose, and non-infringement.

We make no warranty that:

  • The Service will meet your requirements or expectations
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results that may be obtained from the use of the Service will be accurate or reliable
  • The quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations

Any material downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.

No advice or information, whether oral or written, obtained by you from us or through or from the Service shall create any warranty not expressly stated in these Terms.

13. Term and Termination

These Terms shall remain in full force and effect while you use the Service or maintain an account with us.

Termination by You

You may terminate your account at any time by contacting us using the information provided in the "Contact Us" section. Upon termination, your right to use the Service will immediately cease.

Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease, and we may delete or remove any content or data associated with your account.

Survival

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes by posting the updated Terms on our website and updating the "Last Updated" date at the top of these Terms.

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service.

It is your responsibility to review these Terms periodically for changes. We encourage you to check this page whenever you access our Service to stay informed about our Terms.

15. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

16. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved through informal negotiation, both parties agree to binding arbitration under the rules of the American Arbitration Association.

All disputes arising out of or relating to this Agreement shall be resolved through binding arbitration in San Diego, CA, in accordance with the Commercial Arbitration Rules and Mediation Procedures, Expedited Procedures (the "Rules") of the American Arbitration Association in effect as of the date a demand for arbitration is made.

The arbitration shall be conducted by a single arbitrator reasonably skilled in the subject matter of the dispute and mutually agreed upon by the Parties. If the Parties cannot agree on an arbitrator within 30 days, either Party may petition the American Arbitration Association to appoint an arbitrator under Rule R-13.

The costs of arbitration, including the arbitrator's fees, shall be borne by the party which, in the determination of the arbitrator, has failed to substantially prevail, provided that each Party shall be responsible for its own attorneys' fees and costs.

17. Referral and Incentive Programs

From time to time, Mission Assist 360 may offer referral, affiliate, or incentive programs. Participation in such programs is optional and subject to additional terms and conditions provided at the time of the offer.

Referral bonuses are not wages or commissions, and participants are responsible for any applicable taxes. Mission Assist 360 reserves the right to modify or terminate any program at any time.
